1. Acceptance of Terms

By accessing or using the PrepSBA platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service. PrepSBA, Inc. reserves the right to update these Terms at any time.

2. Description of Service

PrepSBA provides an online platform designed to assist small business owners in preparing, organizing, and submitting applications for SBA-guaranteed loan programs. PrepSBA is a technology platform, not a lender. We do not make lending decisions, guarantee loan approval, or provide financial advice.

3. Eligibility

You must be at least 18 years old and a legal resident or citizen of the United States to use our Service. By using PrepSBA, you represent and warrant that you meet these eligibility requirements and that the information you provide is accurate and complete.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use at support@prepsba.com. You may not create accounts for others without their explicit consent.

5. Accuracy of Information

You agree to provide truthful, accurate, and complete information when using the Service. Submitting false or misleading information in connection with an SBA loan application may constitute federal fraud and is subject to criminal penalties under 18 U.S.C. § 1001. PrepSBA will cooperate fully with any government investigation of fraud.

6. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any portion of the platform
  • Transmit viruses, malware, or other harmful code
  • Scrape, crawl, or use automated means to access the Service
  • Impersonate another person, business, or entity
  • Submit duplicate or fraudulent applications

7. Intellectual Property

The Service and its original content, features, and functionality are owned by PrepSBA, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PREPSBA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. USING THE SERVICE DOES NOT GUARANTEE LOAN APPROVAL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPSBA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PREPSBA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless PrepSBA, Inc. and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Termination

PrepSBA may terminate or suspend your account and access to the Service at any time, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
